An Extraordinary General Meeting of Members has been called to take place

On Monday 30th March at 7pm at

Davenham Players Theatre

59 Church Street, Davenham, CW9 8NF

The Davenham Players’ Committee proposes to members of the charity that it is in the best interests of the charity and its members to incorporate the charity as charitable incorporated organisation (CIO). A CIO has separate legal identity from its members, which the charity doesn’t have under its current legal structure, allowing it to hold property and enter into contracts in its own name and providing limited personal liability for its members. The Committee is proposing the following resolution.

Resolution

  1. That The Davenham Players (charity number 504475) take steps to incorporate itself as a charitable incorporated organisation (CIO) on the following basis:
    • the new CIO shall be called The Davenham Players and shall seek registration as a charity with the Charity Commission;
    • the new CIO shall adopt the Charity Commission’s Model Constitution for a CIO with voting members other than its charity trustees (‘Association’ model);
    • all assets, property and contracts of The Davenham Players (charity number 504475) shall be transferred to the new CIO; and
    • forthwith upon the completion of the above, The Davenham Players (charity number 504475) shall be merged with the CIO. The merger shall be registered with the Charity Commission.
  2. That the members of the Committee be and are hereby authorised to take all action and complete all documentation necessary to effect resolution 1.

Whilst this should not affect the day to day running of the Players this is an important change and we do require at least 30％ of the membership to attend in order to pass the resolution.

We do not expect the meeting to be longer than half an hour and would welcome your attendance for this important matter. We will have Kevin Janes from Cheshire Community Action in attendance to answer any questions.
